Commercial registration and trade licence in Qatar: what is the difference, and how do you renew or amend them?

Faysel Al-MohannadiLawyer admitted before the Court of Cassation · Reviewed on
Short answer
In Qatar, the commercial registration (CR) records a trader or company and its activities; the trade licence lets one premises operate. The Ministry of Commerce and Industry issues both, not the Municipality. Each lasts one to five years. Renew the CR in the 30 days before expiry, the licence at least 30 days ahead, and record changes within 30 days.
What is the difference between a CR and a trade licence?
The CR shows who trades and in what; the trade licence (officially the commercial licence) lets one place operate. The Ministry of Commerce and Industry (MOCI) issues both, through its Commercial Registration and Licenses Department and the Single Window.
| Point | Commercial registration (CR) | Trade licence |
|---|---|---|
| Covers | The trader or company and its activities | One premises: a shop, office, restaurant or workshop |
| Law | Law No. 25 of 2005 on the Commercial Register | Law No. 5 of 2015 on commercial, industrial and similar public premises and itinerant vendors |
| Who needs it | Individual traders, commercial companies, commercial agents, foreign company branches and representative offices | Anyone who opens or runs premises the law covers |
| Issued by | MOCI | MOCI, against the Ministry of Interior's establishment registration number |
| Term | One to five years, within the company's term | One to five years, never beyond the CR |
No one may trade or open a commercial shop before registering in the CR (Article 7). The trade name and CR number must appear in Arabic on the shopfront and on correspondence (Article 6).
The Ministry of Municipality does not issue the trade licence. It licenses signs and advertisements, where an unlicensed one risks a fine of up to QAR 30,000 since March 2025 (Law No. 5 of 2025), and sets non-medical public health requirements for some premises (Minister of Municipality Decision No. 38 of 2025).
Online-only sellers need an e-commerce licence per website, after a CR (Ministerial Decision No. 25 of 2026). For first-time set-up, see registering a company in Qatar and WLL vs LLC in Qatar.
How and where do you renew them?
Apply to renew the CR within the 30 days before it expires (Article 5), and the licence at least 30 days before expiry (Article 8 of Law No. 5 of 2015). The Single Window's Comprehensive Renewal service handles both together.
Log in to the Single Window with your Tawtheeq account and a valid Qatari ID.
Choose Comprehensive Renewal, the establishment and a term of one to five years; the licence cannot outlast the CR.
Attach the regulator's approval for any regulated activity, and a no-objection letter from any authority that has blocked the CR.
Pay online. The renewal covers the establishment registration, and Qatar Chamber membership comes with the CR.
The main CR and its branch CRs renew together; each licence, for the main premises, a branch, an ATM or a warehouse, renews separately.
| Task | Where |
|---|---|
| Comprehensive Renewal, Comprehensive Update, Company Closure | The Single Window (sw.gov.qa) |
| Single services, such as adding an activity or branch or writing off a CR | MOCI investor services and app; listed on Hukoomi |
| Sign licences, lease registration | Ministry of Municipality e-services (mm.gov.qa) |
What happens if the CR or licence expires?
An expired CR is not erased on the day it lapses, but the law attaches consequences, and the Single Window will not process an update or closure until it is renewed.
| Situation | What the law says |
|---|---|
| CR not renewed | MOCI may delete the entry if no renewal request arrives within 90 days of warning the owner (Article 5) |
| Late CR renewal | Possible on request, paying the fee for the whole period since expiry (Article 5) |
| Licence not renewed | A late fine of QAR 500 a month for up to three months, after which the licence is treated as cancelled unless MOCI extends the period (Article 8) |
| Trading without a CR | Up to six months in prison and a fine of up to QAR 200,000, or either; the court may also delete the entry or close the shop for up to a year (Articles 7 and 16) |
| Premises without a licence | Up to a year in prison and a fine of up to QAR 50,000, or either, plus possible closure or cancellation (Articles 3, 26 and 28) |
Both laws allow a settlement for half the maximum fine once the breach is removed. A licence is also cancelled if the premises stop operating for 120 days without a reason MOCI accepts (Article 19).
How do you change activities, partners, managers, address or trade name?
Any change to registered details must be recorded in the CR within 30 days of the contract, judgment or event (Article 9). The Single Window's Comprehensive Update bundles several changes in one request, if the CR, licence and company term are current and no partner is under a ban.
| Change | What the law requires | Watch for |
|---|---|---|
| Activity | Partners' approval under the founding document; the regulator's approval for a regulated activity | An extra activity at the premises without MOCI approval is an offence and can cost the licence (Articles 3 and 19 of Law No. 5 of 2015) |
| Partners | Assignment by official deed; partners may buy a share sold to an outsider within 30 days, unless the founding document says otherwise (Companies Law, Articles 237 and 238) | Binds the company and others only once entered in the partners' register and the CR; non-Qatari ownership above 49 per cent needs an amended investment licence |
| Manager | A change of managers, or a limit on their powers, binds third parties only once recorded in the CR (Article 242) | The licence's responsible manager is changed separately |
| Address | MOCI approval, with a new licence's documents: building completion certificate, lease, Civil Defence approval where needed | Moving without approval risks a fine of up to QAR 10,000 (Article 27) |
| Trade name | Change the CR first, then the licence | A trade name is protected even unregistered (Law No. 9 of 2002, Article 33); a new sign needs a municipal licence |
A WLL's founding document states its name, objects, head office, term and often its managers (Article 231), so changing any of these amends it. That needs partners holding three-quarters of the capital (Article 258), in Arabic and notarised, or the amendment is void (Article 6). If a partner will not sign, see partner disputes in a Qatar company.
How do branch CRs work?
A branch is not a separate company. It sits under the company's CR number and has no legal personality of its own (Article 3).
- It cannot use a different trade name, or an activity outside the objects in the company's founding document.
- Adding one needs the partners' approval, plus the regulator's for a regulated activity.
- Each branch premises needs its own licence, renewed separately.
- One branch is closed with the Delete Branch service; closing the main CR closes them all.
- A foreign company's branch follows its own rules, and its CR runs only within its licensed period in Qatar (Cabinet Decision No. 31 of 2019).
How do you cancel a CR?
A company's CR is struck off after liquidation. For a sole proprietorship, deletion must be requested within 30 days of the owner retiring or dying; otherwise MOCI deletes it (Articles 11 and 12).
The partners resolve to dissolve; the resolution is entered in the CR and published in two local dailies, one in Arabic (Companies Law, Articles 291 and 303).
Through the Single Window's Company Closure service, the company enters liquidation, adds "under liquidation" to its name and appoints a liquidator (Articles 304 and 307).
The liquidator gives creditors at least 45 days to claim (Article 312) and pays employees first, then the State (Article 313).
Once the final account is approved, the liquidator publishes the end of liquidation and asks for the CR to be struck off (Article 319).
Attach the partners' consent, the final account, Ministry of Labour approval, any blocking authority's no-objection and, for some non-Qatari partners, the General Tax Authority's.
The CR and licence must be renewed before they can be cancelled. Cancel the licence by telling MOCI the premises have stopped trading (Article 19), and take down the sign. For tax, see company tax in Qatar.
When should you speak to a lawyer?
Most renewals go through online without trouble. Get advice if you see any of these signs:
- A partner refuses to sign, or a share sale sparks a dispute.
- An administrative or court block on the CR stops a renewal, change or closure.
- Someone else runs a business on your CR, or asks to use your name. See registering a business in someone else's name.
- You receive a deletion warning, a licence is treated as cancelled, or an inspector records a violation.
- A liquidation leaves debts, staff entitlements or tax unsettled.
- A change would take non-Qatari ownership above 49 per cent, or convert the company's legal form.

No, MOCI does. The Ministry of Municipality licenses signs and advertisements and sets non-medical public health requirements for some premises.
